Annals of corporate governance 

In addition to being a family man, blogger ordinaire, and friend to dozens, TigerHawk is also the corporate secretary of a not insubstantial public company. This is not a glamorous job and would be intolerable were it not for the tremendous efforts of our general counsel, who does all the hard stuff.

In any case, this position entitles me to belong to various organizations that send me spam, among other benefits. Imagine my delight when I received the following email from the American Society of Corporate Secretaries, which dedicates itself to "promoting excellence in corporate governance:"

The saying goes "you've got to be in it - to win it" and the same holds true for the prize drawings that are part of the ASCS membership campaign which ends March 31.

The big difference is the odds - one chance in 200 or less versus one in a million or more!

If you successfully recruit just one colleague to join the Society, you will be entered in a special drawing for a deluxe three-day, two-night stay at the legendary Boca Raton Resort & Club in fabled Palm Beach County, Florida. The campaign prize includes roundtrip airfare for two.

For each additional new member you recruit, your name will be entered in a drawing for single registration, airfare and room for four nights at the 58th ASCS National Conference July 7-11, 2004 at the Westin-Copley Place in Boston.

If you recruit the most new members, you can win $1,000 to create your own vacation or shopping spree. One $1,000 prize will be awarded to the top recruiter among members from vendor companies and one $1,000 prize will be awarded to the top recruiter among members from non-vendor companies.


So an organization that promotes itself as devoted to excellence in corporate governance is trying to get executives who are members to encourage other executives to spend their stockholders' money to join the organization, for which referral the organization offers cash and prizes. Seems like a bad idea to me. Hilarious, but a bad idea nonetheless.
